| Out-Med was originally conceived in early 1995 as a way to unite the medical profession and allied health care personnel with the local business community and to develop investment vehicles designed to take advantage of local market needs and trends while, simultaneously, enhancing the community in which they live. The Company was formed August 3, 1995 primarily for the purpose of fostering investment opportunities in and about Newnan, Georgia. As originally planned, and as presently operated, the Company has selected investment opportunities related primarily to the real estate business. |

| Out-Med believes it has a unique marketing strategy. Many developers of commercial properties identify a business and then determine if the business fits in to a select community. Out-Med first identifies a need within a community and then determines the type of business to suit that need. When Out-Med enters an industry, it does so with class, care and quality. For example, in developing real property, the Company tries to distinguish itself from other developers and similar developments by directly controlling the project surroundings to make sure that quality and high standards are met and maintained. The Company also draws upon strong investor support from within the community for the success of existing and prospective projects. |

We must uphold the highest ethical and compliance standards in the conduction of OutMed’s business. Our
final responsibility is to our stockholders. The business must make a
sound profit. We must experiment with new concepts. Innovative programs
must be developed and mistakes must be paid for. Reserves must be created
to provide for adverse times. We must maintain financial strength to provide
the resources to compete and grow, thus creating opportunities for attractive
returns to shareholders. |
